ALGOTICON | Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the software development, consulting, and related technology services offered by ALGOTICON LLC ("ALGOTICON", "we", "us"). By engaging with our website, products, or services, you agree to be bound by these Terms.

2. Services

We deliver technology advisory, software engineering, managed operations, and related digital products tailored to the needs of financial institutions, regulated businesses, and innovation-driven teams. The scope, timeline, deliverables, and commercial terms of each engagement are defined in a mutually executed statement of work, order form, or master services agreement.

3. Accounts & Access

Certain features may require you to create an account. You agree to provide accurate information, maintain the confidentiality of your credentials, and promptly notify us of any unauthorized use. We may suspend or terminate access if we detect suspicious activity or breach of these Terms.

4. Acceptable Use

You agree not to use ALGOTICON services for unlawful activities, to infringe on third-party rights, to reverse engineer protected components, or to introduce malicious code into any systems we operate. You are responsible for obtaining all necessary authorizations to share data or systems with us.

5. Client Data & Privacy

You may provide information, including personal data of your users or team members, so we can deliver services. We process such data in accordance with our Privacy Policy and applicable data protection laws. By using our services, you confirm that you have obtained all necessary consents and legal bases to share the data with us. We use cookies and similar technologies to operate our platforms, support authentication, measure performance, and tailor experiences.

6. Confidentiality

We treat all client information as confidential and will use it solely to deliver the contracted services. Each party agrees to protect confidential information with the same level of care it uses for its own sensitive data and to limit disclosure to authorized personnel or subprocessors who are bound by written obligations of confidentiality.

7. Intellectual Property

Unless agreed otherwise in writing, clients retain ownership of their pre-existing intellectual property and newly developed assets created for them through paid engagements. ALGOTICON retains rights to internal tools, methodologies, and know-how used to deliver the services, and may reuse generalized learnings that do not disclose your confidential information.

8. Fees & Payment

Fees, invoicing schedules, and payment terms are described in the applicable agreement. Unless otherwise stated, invoices are due upon receipt and payable within thirty (30) days. Late payments may incur interest at the maximum rate permitted by law. You are responsible for applicable taxes, excluding taxes on our income.

9. Warranties & Disclaimers

We perform services with professional care and skill consistent with industry standards. Except as expressly stated, ALGOTICON disclaims all other warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Beta features, experimental tooling, or sandbox environments are provided "as is."

10. Limitation of Liability

To the maximum extent permitted by law, ALGOTICON will not be liable for indirect, incidental, special, exemplary, or consequential damages arising from or related to our services. Our aggregate liability is limited to the fees paid for the engagement giving rise to the claim.

11. Term & Termination

These Terms remain in effect while you access our site or engage us for services. Either party may terminate an engagement according to the applicable agreement. Upon termination, you remain responsible for fees incurred and we will delete or return client data as described in our agreements and Privacy Policy.

12. Governing Law

These Terms are governed by the laws of Ukraine, without regard to conflict of law provisions. Any disputes will be resolved through negotiation in good faith, and if unresolved, by the competent courts of Ukraine. Nothing prevents either party from seeking injunctive relief to protect confidential information or intellectual property.

13. Changes to These Terms

We may update these Terms to reflect changes in our business or legal requirements. When we make material updates, we will post the revised Terms with an updated date and, when appropriate, provide additional notice. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
